Sale of iFood Validates JET's Equity Story, Removes Refinancing Concerns;
Shares Cheap Despite Rally Just Eat Takeaway announced on Aug. 19 that it has entered into an agreement to sell its 33% stake in iFood for a total cash consideration of up to EUR 1.8 billion (EUR 1.5 billion in cash and as much as EUR 300 million contingent on the performance of the business over the next 12 months). The transaction is subject to approval at the company's general meeting in the fourth quarter. JET reiterated its previously given guidance and its intention to partially or fully sell Grubhub.
The EUR 1.8 billion total consideration represents about 50% of the group's preannouncement market capitalization and implies 1 times 2021 gross merchandise value and 7 times iFood's 2021 revenue. It also compares with EUR 2.6 billion assigned to iFood in our sum-of-the-parts valuation analysis. We expect to reduce our fair value estimate by about 5% to reflect the lower deal price. The shares were up as high as 30% in intraday trading but remain significantly undervalued, in our opinion.
The iFood stake sale is an extremely positive development for the stock and JET's equity story for four main reasons: (1) It proves that the company has the ability to monetize its valuable assets even during an extremely bearish market environment for valuations in the sector, (2) the cash consideration strengthens the balance sheet and removes any concerns about refinancing risk of the 2023 and 2024 out-of-the-money convertible bonds (EUR 550 million), (3) it increases the group's flexibility to continue to pursue market leadership across its core European markets, and (4) it increases the likelihood of a massive share-buyback program initiation in the event of a partial or full sale of Grubhub, given an already strong and adequate cash position. www.morningstar.com/stocks/XAMS/TKWY/...
