ZURICH Swiss technology firm OC Oerlikon Corp AG (OERL.VX) said Monday it will sell its ailing backend semiconductor equipment unit, Esec, to Dutch BE Semiconductor Industries NV (BESI.AE), or BESI, for an undisclosed amount.
The company said the sale of Esec was motivated by strategic considerations. "The backend semiconductor business does not provide any synergies with the group's core technological competences in the coating/thin-film sector," the company said in a statement. "Economies of scale are also only of limited benefit to the Group."
Closing of the transaction with BESI is anticipated in April, subject to customary closing conditions and approvals. A spokesman for Oerlikon also said that negotiations over certain details of the sale are ongoing.
In early trading, Oerlikon shares were 0.4% higher, or up CHF0.14 at CHF40.20. At Friday's close, the stock had lost around 42% so far in 2009 on fears it might break its debt covenants amid falling sales and profits.
The company didn't break out sales for Esec in recent financial reports, but in its third quarter earnings its Components segment, which includes the Oerlikon Space and Oerlikon Esec business units, posted a 12% drop in sales to CHF189 million. Group sales were CHF3.77 billion.
In the first half of 2008, Oerlikon wrote down CHF343 million, due to an impairment charge which was in part caused by weakening demand at Esec. The unit cut working hours in the second half of 2008.
The Esec sale is good news as it helps to simplify Oerlikon's portfolio, said Vontobel analyst Michael Foeth, and means it will likely manage to remain within the terms of its debt covenant for 2008. Still, for 2009 the company will likely have to do more work, he said. Foeth rates Oerlikon hold, with a CHF70 target price.
Under the terms of its debt covenant, Oerlikon must remain within a ratio of net debt to earnings before interest, taxes, depreciation and amortization, or Ebitda, of no more than 3.5 times. At its first half 2008 report, the company had net debt of CHF1.62 billion, company spokesman Burkhard Boendel said.
Chief Executive Uwe Krueger said at third quarter earnings that 2008 earnings before interest and taxes are expected at CHF250 million, excluding charges for impairment and restructuring.
Spokesman Boendel said that Oerlikon is "very confident that with year-end, we will be within the boundaries of the debt covenant."
In 2000, Oerlikon, then known as Unaxis, bought a majority in Swiss Esec Holding SA, buying the remaining 40% in 2003. In 2005, the company started looking at a disposal of the business for which, according to reports at that time, the company was targeting a sale price of between CHF500 million and CHF800 million. It pulled back from a sale after it failed to find a suitable buyer.

Heel benieuw naar wat de prijs is, wat de vraagprijs in 2005 was nog tussen de 500 en 800 miljoen zwitserse franken dus pakweg 333 tot 533 mio euro's.

Er is sindsdien wel flink op afgeschreven dus die waarde is een stuk omlaag gegaan en ze vonden toen al geen kopers dus...
Het is ook een verkoop ingegeven transactie dus hopelijk maakt BESI een mooie prijs.

AMSTERDAM (Dow Jones)--Oerlikon Corp AG verkoopt twee semiconductor business units aan BE Semiconductor Industries nv (BESI). Dat heeft het Zwitserse bedrijf maandag bekendgemaakt.

De transactie wordt naar verwachting in april 2009 gesloten. Beide partijen hebben afgesproken de verkoopprijs niet openbaar te maken.

Lekker dan weer, niet dat het belangrijk is voor de aandeelhouders of zo.
Wanneer rotten die ouwe nutteloze zakken een keer op bij BESI.
Ben juist aandeelhouder geworden omdat het er aan zat te komen dat ze 'gewipt' zouden worden maar dat is met vuil spel tegen gehouden.

Weet zeker dat als er een pagina wordt gemaakt waar iedereen zijn aandelen kan melden aan de kant van Lindenberg en CO dat we de 50% gewoon halen en dan is het oprotten met die mismanagers.

Zo'n vijf jaar geleden heb ik al eens over ESEC geschreven.Esec (Unaxis) ASMI's nieuwe concurrent.

Ik ga die column eens opdiepen en schrijf dan een nieuwe column over BE Semiconductor aquireert Esec.

De persberichten zijn al even ondoorzichtig als bij de overname van Datacon BV op 14 november 2004
