DRUNEN (ANP) - Het chipbedrijf BE Semiconductor Industries
(BESI) gaat de schermenbeurs Nasdaq verlaten. De onderneming uit
Drunen, leverancier van onder meer NXP, Texas Instruments en
Samsung, liet woensdag weten rond Kerstmis een verzoek daartoe
te willen indienen. Tien dagen later kan het vertrek al een feit
zijn.

Volgens BESI wegen de kosten van de Amerikaanse notering
niet meer op tegen de handel die er plaatsvindt in de aandelen
van de onderneming. Het bedrijf wil zijn notering in Amsterdam
behouden. Euronext Amsterdam is goed voor meer dan 90 procent
van de handel in BESI-aandelen.

BESI verwacht dat het beëindigen van de notering een
jaarlijkse kostenbesparing van 1 miljoen euro kan opleveren. De
kosten zijn de afgelopen jaren opgelopen door strengere
regelgeving na de boekhoudschandalen bij bedrijven als Enron en
WorldCom.

Ze hebben groot gelijk, die 1 miljoen die ze jaarlijks gaan besparen kunnen ze beter voor iets anders gebruiken, waarschijnlijk voor de aandeelhouders.lol Meer dividend. Zou wel eens interessant aandeel kunnen worden. Is sowieso een financieel gezond bedrijf.

Besi krijgt vandaag ook nog een upgrading van Kempen met koersdoel van 6 euro.
Dubbel goed nieuws , kan de koers toch wel weer iets omhoog.

BESI delivered notice today to The NASDAQ Stock Market LLC that it intends to delist the Shares. As disclosed in the notice, BESI expects to file a notification of removal from listing on the NASDAQ Global Market via Form 25 with the SEC on or about December 26, 2006. The withdrawal of the Shares from listing should be effective 10 days after the filing of the notice on Form 25 with the SEC. Accordingly, BESI anticipates that the last day of trading for the Shares on the NASDAQ Global Market will be on or about January 5, 2007.(...)

De filing is inderdaad op 26-12 bij de SEC gedaan,

zodat het genoemde tijdpad aangehouden is en de laatste handelsdag in US dus 5-1 zal zijn.

Volgens opgaaf in het jaarverslag 2005 waren er op 31-12-2005 9 geregistreerde US-aandeelhouders met in totaal bijna 6 miljoen stukken op een totaal van 34 miljoen uitstaande aandelen. Ik neem aan dat er nog wat meer US-aandelen zijn, maar het precieze aantal kan ik niet vinden. Lijkt me overigens niet dat zulke grootaandeelhouders nu ploteling hun stukken gaan dumpen.
Over de uitstaande grote convertible van €46miljoen wordt qua verdeling alleen gemeld :
The Notes were offered to institutional investors in the Netherlands and internationally to professional investors through an
international private placement, in reliance on Regulation S of the U.S. Securities Act of 1933

Gezien de laatste toevoeging zal er dus ook wel een deel in de US geplaatst zijn.

Nasdaq-notering lijkt idd beëindigd, ticker BESI is veranderd naar BESIY.PK.

Ik heb er nog geen officïele mededeling over gezien, vooralsnog ook geen idee waarom er schijnbaar wel een Pinksheetnotering blijft bestaan.
